Quest Diagnostics (NYSE: DGX), a leading provider of diagnostic information services, today announced the completion of its acquisition of LifeLabs from OMERS. The transaction, valued at approximately CAN $1.35 billion (approximately USD $1 billion), including net debt, has received all necessary approvals and is now closed.

“This acquisition brings together two industry leaders committed to enhancing access to diagnostic innovation for patients in North America,” said Jim Davis, Chairman, CEO, and President of Quest Diagnostics. “The combination of LifeLabs’ strong business and deep community presence with Quest’s specialized lab services and expertise creates a powerful opportunity to generate growth while improving care and outcomes for Canada’s expanding and aging population.”

Quest provides a comprehensive offering of tests requiring specialized skills, science, and technology in clinical areas such as cardiometabolic health, infectious diseases, Alzheimer’s disease, oncology and genomics.

“Joining forces with Quest Diagnostics marks a pivotal moment for LifeLabs. Quest’s extensive diagnostic capabilities and forward-thinking strategy will help the LifeLabs team enhance access to services and ultimately improve healthcare for Canadians,” said Charles Brown, President and CEO of LifeLabs. 

LifeLabs and its more than 6,500 employees will continue to operate under the LifeLabs brand and with the same management team and headquarters. Quest will provide LifeLabs with new expertise, innovations and resources to strengthen the services provided by LifeLabs. In addition to fostering greater access to specialized tests, the two companies will work together to improve online appointment scheduling and speed patient service centre processing. Quest will also support LifeLabs’ data security enhancements while ensuring Canadian patients’ health data remains in Canada.

Transaction Details
Quest has acquired 100% of the equity of LifeLabs. The transaction meets all of Quest’s criteria on growth, profitability and returns. Quest expects the transaction to generate approximately CAN $970 million (approximately USD $710 million) in annual revenues. The company expects the transaction to be slightly dilutive to GAAP earnings per share (EPS), due primarily to amortization of intangibles and other items, but $0.10-$0.15 accretive to adjusted EPS, in the first 12 months after closing. The company will provide updated financial guidance for the full year 2024 on its third quarter 2024 earnings call in October 2024. Additional terms were not disclosed.

An accomplished technology executive, Chiang brings extensive security and strategy experience from Cloudflare, Uber and Salesforce, and healthcare experience from Deloitte

Headway, the company building a new mental healthcare system that everyone can access, today announced its appointment of Susan Chiang as Chief Information Security Officer. An accomplished technology executive, Chiang brings extensive security and strategy experience from companies like Cloudflare, Uber, and Salesforce, and healthcare consulting experience from Deloitte. She will oversee a team across data privacy and security, engineering and IT to make Headway the most trusted platform for mental health care providers and their patients.

According to the U.S. Department of Health and Human Services, cybersecurity incidents in healthcare are on the rise. The department reported a 93% increase in large breaches reported from 2018 to 2022, underscoring the critical need for investing in security and privacy as a top priority. This comes on the heels of the company’s announced expansion to Medicare Advantage and Medicaid plans.

Most recently, Chiang was Acting Chief Security Officer at Cloudflare, a large internet backbone company known for security and data privacy, where she oversaw engineering, operations, and technical program management functions for Security across the organization. Prior to Cloudflare, she was part of the security leadership team at Uber. Earlier in her career, she spent several years at Deloitte, where she focused on technology and healthcare consulting.

“I’m thrilled to join the team and leverage my cybersecurity and healthcare experience to help make it an even more trusted place for its providers and patients,” said Chiang. “As not only a cybersecurity professional, but also a patient myself, I deeply understand the importance of protecting medical data. In addition to her professional achievements, Chiang is a recognized advocate for empowering women and underrepresented groups in the security industry. She was honored as a Women in IT Security Advocate by SC Media in 2023. Chiang holds a degree from the University of California, Berkeley, and is based in San Francisco.

Health iPASS, a Sphere company and leading provider of digital patient engagement solutions, announces it has enabled Mastercard’s account-to-account bill pay network, Remote Payment and Presentment Service (RPPS), to help power online healthcare bill pay in the U.S, offering more secure and frictionless digital payments choice for patients and providers.

Bill payments made via paper check continue to cause friction for healthcare providers, straining their cashflow and diverting their valuable time to manual, time-intensive payment reconciliation. Likewise, data from the Federal Reserve shows that while overall check volume is on the decline, billions still use paper checks for bill payments, representing an opportunity to optimize medical bill payments in the healthcare space.

With Health iPASS Bank Bill Pay solution, powered by Mastercard RPPS, Health iPASS’ tens of thousands of US healthcare providers can now offer their patients the option to pay their medical bill(s) digitally where they already manage and pay their other bills. This complements other electronic forms of payment, catering to a segment of payors preferring to streamline their bill payments through one entity.
